Terms of Service

Chassis provides access to GPU and related compute capacity, organization workspaces, wallet-based billing, APIs, and documentation (collectively, the “Service”). Features may evolve; we will not reduce core security or billing transparency without notice where required by law.

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account and under organizations you own or administer. Organization owners may invite members and manage spend against the organization wallet.

Chassis uses prepaid wallet balances. Compute, storage, and applicable fees are deducted from the wallet associated with your organization. You authorize OkeyMeta to charge payment methods you connect for top-ups. Unused prepaid balances are not interest- bearing. Refunds, if any, are handled case-by-case at support@okeymeta.com.ng and may exclude consumed compute or third-party payment fees.

Prices shown in the console or catalog are estimates; final charges are based on metered usage. You are responsible for monitoring wallet balance and stopping workloads before funds are exhausted. We may suspend or terminate running jobs when a wallet cannot cover accrued or projected charges.

You may not use Chassis to:

• Violate applicable law, including export controls, sanctions, or intellectual property rights of others.
• Probe, scan, or attack systems you do not own or lack authorization to test, including Chassis itself.
• Mine cryptocurrency or run abusive high-intensity workloads that degrade shared infrastructure, unless expressly permitted for your plan.
• Distribute malware, conduct fraud, or host content that is unlawful, exploitative, or that facilitates harm to minors.
• Circumvent billing, quotas, authentication, or isolation boundaries.

We may investigate suspected abuse and suspend or terminate access where necessary to protect the Service, other customers, or third parties.

You retain rights to data, models, and artifacts you upload or generate (“Customer Content”), subject to licenses you grant us to operate the Service (hosting, backup, processing, and support). You represent that you have the rights needed to process Customer Content on Chassis. You are responsible for securing secrets stored in your workloads.

Each party may receive non-public information from the other. Recipient will use reasonable care to protect that information and use it only to perform under these Terms, except where disclosure is required by law.

Chassis, its branding, software, and documentation are owned by OkeyMeta Ltd. and its licensors. No rights are granted except as expressly stated. Feedback you provide may be used freely to improve the Service without obligation to you.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKEYMETA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that workloads will meet specific latency or accuracy targets.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKEYMETA AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO OKEYMETA FOR CHASSIS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent allowed.

You will defend and indemnify OkeyMeta against claims arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

You may stop using Chassis at any time. We may suspend or terminate access for material breach, non-payment, legal risk, or prolonged inactivity. Upon termination, your right to use the Service ends; we may delete Customer Content after a commercially reasonable retention window unless law requires longer retention.

We may update these Terms. Material changes will be posted on this page with an updated effective date. Continued use after the effective date constitutes acceptance.
